Introduction
Uncorked Bistro will provide a full-service retail merchant of wines and gifts related to wine as well as a full-service restaurant/cafe with a Christian-focused atmosphere in the River District of Danville, Virginia. The restaurant section allows a 50 seat fine-dining area with additional exterior patio seating of 20 seats for a more relaxed setting. We will feature a full menu of traditional French cuisine at moderate price level. It will distinguish itself from the competition by its unique dining experience, selection of wines, and prime storefront location overlooking the river. Customers will be able to enjoy a fine view while dining with the ability to shop our wine collection at any time during their visit. The establishment will encourage the two important values in Christianity: love and service.
The wine shop, known as "The Cellar", will feature over 400 wines from around the world from inexpensive wines to rare wines. We will also feature wines from local and Virginia wineries ."The Cellar" will also have available for sale a selection of wine related gifts. The shopping area will be separate from the dining area and available during business hours. Uncorked Bistro will be open seven days a week. We will offer wine tastings on Saturday evenings to attract new customers. Mission
Uncorked Bistro's mission is to develop the best location to purchase wine and enjoy French cuisine. We will strive to have great tasting food, efficient and friendly service, a broad selection of wine for every wine connoisseur to enjoy.
Company Summary
Uncorked Bistro will be formed as a closely held C corporation with two stockholders: Jessica Atkisson and Debra Vernon. Each stockholder will own 50% of the issued stocks and equal to their individual pain-in capital. The formal charter and agreement will be in accordance with the laws of the Commonwealth of Virginia and will be drawn up by an attorney. By forming the business under a corporation, the business is recognized as a separate taxpaying entity, which will conduct business, realize net income or loss, pay taxes and distribute profits to shareholders.
Strategy and Implementation Summary
1. Location is key and has been determined.
2. Staffing executive management professionals, who are seasoned in business knowledge, and experienced in wine trade.
3. Employ sales staff with wine education credentials.
4. Obtain licensing requirements in accordance with the law of the Commonwealth of Virginia and the Virginia Department of Alcoholic Beverage Control.
5. Keep records of all sales and purchase records for all wines within the storefront.
6. All employees will be trained for the detection of fake identification prior to business opening.
Code of Conduct
All employees will work in accordance with the laws of the Virginia Department of Alcoholic Beverage Control, the Code of Virginia, and the Virginia Administrative Code (all information obtained from Virginia Law Website They are as follows:
1. No alcoholic beverages may be brought into the restaurant except those purchasable onsite.
2. No person visibly intoxicated or believed to be intoxicated shall be served and will be asked to leave the premises immediately. See § 4.1-304 and Appendix B
3. No person under the age of 21 or believed to be under the age of 21 without proper identification shall be served. See §4.1-301 and Appendix B
4. Any person using vulgar or inappropriate language will be asked to leave the premises immediately See § 18.2-416
5. Any person intending to purchase wine will be asked for identification when an ordinary and prudent person would have the reason to doubt that the intender is of legal age based on the general appearance, facial characteristics, behavior and manner of the intender. See 3VAC5-50-20
These laws are the start of the code of conduct for the business and do not reflect the code of conduct in its entirety. This is only a sampling of the laws the state of Virginia requires for business which sell alcohol or alcoholic beverages.

DISTRIBUTION AGREEMENT
Agreement made as of the 1st day of May, 2016, by and between Total Wine Distributors, having its business address at 123 Main Street, Greensboro, North Carolina, (hereinafter referred to as "SUPPLIER") and Uncorked Bistro, Incorporated having its principal place of business at 875 River Street, Danville, Virginia(hereinafter referred to as "DISTRIBUTOR").
WITNESSETH
WHEREAS
A. SUPPLIER is the producer of certain wines from the state of North Carolina as more particularly identified on the price list attached hereto, and made a part hereof, as schedule A (hereinafter referred to as the "Products");
B. DISTRIBUTOR desires to secure from SUPPLIER, and SUPPLIER is willing to grant to DISTRIBUTOR, the exclusive right to sell and distribute SUPPLIER'S Products in the State of Virginia and direct retail or consumer sales from DISTRIBUTOR'S business location.
NOW THEREFORE, it is mutually agreed as follows:
1. SUPPLIER hereby appoints DISTRIBUTOR as a distributor for the term of this Agreement for the sale and distribution of the Products in the business location. DISTRIBUTOR will maintain, or cause to be maintained, a sales staff for the distribution of products handled by DISTRIBUTOR, including the Products, and DISTRIBUTOR shall use its best efforts to promote the sale and distribution of SUPPLIER's Products.
2. SUPPLIER will not ship the Products to the location except under the order or by the direction of DISTRIBUTOR. It will refer to DISTRIBUTOR any and all orders or inquiries for the Products that it may receive for shipment to the location, or orders which are intended for eventual shipment to the location.
