have agreed the present Contract No____(hereinafter referred as the "Contract") as follows:

1. Subject

1.1 In the order and on terms, specified in this Contract, the Seller shall sell (transfer the ownership) to the Buyer, and the Buyer shall buy (to accept and pay) the Goods, in the quantity, assortment and according to technical data stated in the specification _______________, which are an integral part of the present Contract.

2. Price

2.1 The prices of Goods, sold under the present Contract, are fixed in the Annex No___ to the present Contract. The price is reducing___.

2.2 The above said prices of the Goods include the cost of tare, packing and marking.

3. Terms and Method of Shipment

3.1 The Seller shall ship to the Seller the Goods, sold under the present Contract, in accordance with the terms, stipulated in the specification ___________.

3.2 The Seller is given, in agreement with the Buyer, the right on the pre-term distribution of the Goods, moreover the Buyer shall take the Goods and pay their cost in proper time in accordance with the terms of this Contract.

3.3 Should the Seller fail to deliver the Goods according the terms, established by this Contract, the Seller pays to the Buyer penalty at the rate of______________.

3.4 The shipment of sold under the present Contract goods will be fulfilled by the dispatching requisites, stipulated in the specification ___________, the Annex___

4. Quality of the Goods

4.1 The quality of the goods sold under the present Contract shall conform to the technical data stated in the present Contract and to be confirmed by a Quality Certificate issued by the Manufacturer or by the letter of indemnity drawn up by the Seller.

4.2 The Buyer has no right, without the agreement with the Seller, to use the Goods, which are asserted a claim to quality by him.

5. Terms of payment
